CONSTITUTION & BYLAWS
ARTICLE IX – GOVERNING BOARD
1.16. GOVERNING BOARD. South Texas Youth Soccer shall be governed by a Governing Board. Each member association of the South Texas Youth Soccer Association shall elect or appoint one or more persons to represent said member association on the Governing Board each year.
1.17. GENERAL POWERS. The Governing Board shall transact all business of South Texas Youth Soccer and shall have the power to enforce the laws of the game, the rules of the United States Youth Soccer Association and the Constitution, By-Laws, Rules and Procedures of South Texas Youth Soccer. It shall have the power to settle all disputes not pertaining to the Discipline, Protest and Grievance Procedures. It shall approve the Annual Budget, including Program Fees, at the winter meeting and the South Texas Youth Soccer Treasurer shall provide to the Governing Board the details of all amendments to the annual budget approved by the Executive Committee at the Governing Board meeting next following the date of each amendment. ARTICLE X – MEETINGS
1.18. REGULAR MEETINGS. The regular meetings of the South Texas Youth Soccer Governing Board shall be held twice yearly in accordance with the South Texas Youth Soccer Perpetual Calendar.
1.19. SPECIAL MEETINGS. Special meetings of the Governing Board may be held at the discretion of the President at the time and place designated by the President or may be called by a written request to the secretary signed by the Governing Board members representing a majority of the voting power.
1.20. ORDER OF BUSINESS. The order of business for regular meetings shall be as follows:
- Roll call and vote accreditation
- Motions to Reinstate
- Approve minutes of last meeting
- Unfinished business
- Financial and budget review and approval
- Amendments to Constitution, if any
- Amendments to By-Laws, if any
- Amendments to Rules and Procedures, if any
- Reports from Standing Committees
- Reports from Officers
- Election of officers at first meeting of calendar year
- New Business
- Adjournment
1.21. ROBERT’S RULES OF ORDER. All other aspects of the meetings of South Texas Youth Soccer shall be conducted in accordance with Robert’s Rules of Order, latest edition.

2.3. VOTING POWERS
2.3.1. MEMBER ASSOCIATIONS. The number of votes which each member association will have shall be determined as follows, based on the most current paid registration figures as provided by the South Texas Youth Soccer Registrar to the Executive Committee no earlier than 14 days before and no later than 10 days prior to any South Texas Youth Soccer General Meeting. - Under 1,000 players = 1 vote
- 1,001 – 2,000 players = 2 votes
- 2,001 – 3,000 players = 3 votes
- 3,001 – 4,000 players = 4 votes
- 4,001 – 5,000 players = 5 votes
- 5,001 – 6,000 players = 6 votes
- More than 6,000 players = 7 votes

2.3. VOTING POWERS
2.3.2. INDIVIDUAL MEMBERS. Individual members shall have no vote
